Notice: EntityFile is a private third-party filing service, not a government agency.
By using our website or purchasing filing assistance, you agree to these terms and our privacy policy and refund policy.
EntityFile is an independent, private third-party filing assistance service. EntityFile is not an agency, division, or representative of the New York Department of State (NY DOS), the Oregon Secretary of State (SOS), or any governmental authority.
We prepare, review, and assist with submission of filings using information you provide or approve. You may also file directly with the applicable state authority without using our service. We do not provide legal, tax, financial, or accounting advice.
You confirm that you are authorized to act for the entity and to have us prepare and submit its filing. You are responsible for providing and reviewing accurate, current information, including the Entity Name, DOS ID or Registry Number, addresses, and authorized persons. Incorrect or incomplete information may delay or cause the state to reject a filing.
Your total, which may include an EntityFile service fee and a state filing fee, is shown before payment. Payments are processed by Stripe. Refund eligibility is described in our refund policy.
State authorities decide whether to accept a filing and how long processing takes. We cannot guarantee acceptance, a particular processing time, or a change in your entity's legal status. Contact us if you believe we made an error in preparing or submitting your filing.
Our privacy policy describes how we handle your information, and our refund policy governs cancellations and refunds. Both are incorporated into these terms.
EntityFile's website content, software, graphics, branding, and filing templates are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use our service for your filing needs.
The applicable state authority makes the final decision on a filing. We are not responsible for delays caused by state systems, penalties imposed by a state, or rejection caused by inaccurate information you provided or approved.
To the maximum extent permitted by law, EntityFile is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages. Our aggregate liability for claims relating to a filing will not exceed the amount you paid EntityFile for that filing.
Our website and services are provided "as is" and "as available" to the extent permitted by law. We do not warrant uninterrupted or error-free service or guarantee acceptance of a filing or regulatory compliance. Nothing here limits rights that cannot be waived by law.
You agree to indemnify and hold harmless EntityFile and its officers, directors, and employees from claims, losses, and reasonable legal expenses arising from your violation of these terms or inaccurate, unauthorized, or fraudulent information you submit, to the extent permitted by law.
Disputes arising from these terms or our services will be resolved by binding arbitration under the commercial arbitration rules of the American Arbitration Association (AAA). You and EntityFile each waive the right to a jury trial or participation in a class action to the extent permitted by law.
If 25 or more similar disputes are brought by the same or coordinated counsel, the AAA will administer them sequentially in batches of up to 50, with remaining cases and associated fee demands stayed until the active batch is resolved.
You may opt out of arbitration within 30 days of your first purchase by emailing [email protected] with your name, email address, and a statement that you wish to opt out. The rest of these terms will still apply. If you opt out, disputes will be resolved in court.
These terms are governed by Wyoming law, without regard to conflict-of-law rules. Disputes not subject to arbitration will be heard in the courts located in Sheridan County, Wyoming, except where applicable law requires otherwise.
If a provision of these terms is unenforceable, the remainder will remain in effect to the extent permitted by law.
These terms and the policies incorporated above constitute the agreement between you and EntityFile regarding our services and supersede earlier understandings about those services.
We may update these terms. For material changes, we will give at least 30 days' advance notice by email or a prominent notice on our website. Changes do not alter the terms that applied to purchases made before they take effect. Your continued use after the effective date means you accept the updated terms.
For questions about these terms, email [email protected].
